Terms of Service

1. Acceptance of These Terms

By accessing, connecting a wallet to, or otherwise using roodswap (the "Service"), you agree to these Terms and to any additional policies referenced here. These Terms form a binding agreement between you and roodswap.

If you use the Service on behalf of another person or entity, you represent that you have authority to bind that person or entity, and "you" refers to both you and them.

You may not use the Service if you do not accept these Terms in full. Continued use after any change to these Terms means you accept the updated version.

2. Description of the Service

roodswap is a non-custodial software interface. It lets you connect your own EVM or Solana wallet and trade tokens, on the same chain or across chains, by signing every transaction yourself.

The Service supports four actions: SWAP (trade any supported token for any other supported token), BRIDGE (move assets across chains), SELL (convert any supported token into USDC on its chain), and SEND (transfer tokens to any wallet address).

roodswap uses best-route aggregation. It compares prices across dozens of decentralized exchanges and bridges through several leading routing engines at once, then selects the route that returns the most output after fees and gas. You always see the minimum you will receive before you sign.

roodswap is only an interface to public blockchain networks and independent liquidity and routing infrastructure. It is not a broker, dealer, exchange, custodian, bank, money transmitter, money services business, or financial institution. It does not take possession, control, or custody of your funds at any point, and it does not execute trades on your behalf. Every transaction is initiated and authorized by you from your own wallet.

3. Eligibility

To use the Service, you must meet all of the following requirements. By using the Service you represent and warrant that you do.

• You are of legal age and have full legal capacity to enter into a binding contract in your jurisdiction.
• You are not a person or entity subject to any sanctions, embargo, or restriction under any applicable law, and you are not located in, organized under the laws of, or a resident of any sanctioned or restricted territory.
• You are not acting on behalf of any sanctioned or restricted person or entity.
• Your use of the Service is not prohibited by, and does not otherwise violate, the laws that apply to you.
• You are solely responsible for determining whether your use of the Service is lawful where you are.

4. No Financial, Legal, Tax, or Investment Advice

roodswap does not provide financial, legal, tax, accounting, or investment advice. Nothing on the Service is a recommendation, solicitation, or endorsement to buy, sell, hold, or transact in any asset.

Quotes, routes, prices, and any other information shown are provided for convenience only and may be inaccurate, delayed, or incomplete. You are responsible for evaluating every transaction yourself.

Consult your own qualified advisors before making any decision. You act on your own judgment and at your own risk.

5. User Responsibility and Self-Custody

You are in sole control of your wallet, your private keys, your seed phrase, and your assets. roodswap never holds them and can never access them.

You are responsible for the security of your wallet and device, for verifying every transaction before you sign it, and for confirming that token addresses, amounts, destination addresses, chains, and slippage are correct.

Blockchain transactions are irreversible. Once a transaction is broadcast and confirmed, it cannot be undone, reversed, or recovered by roodswap or anyone else. If you send to the wrong address, sign a bad transaction, or lose your keys, those funds are gone.

roodswap is non-custodial by design. Funds never touch roodswap. They move from your wallet straight to the destination token or address. roodswap cannot hold, freeze, move, reverse, or recover your funds under any circumstances.

Cross-ecosystem transactions (for example, moving between Solana and an EVM chain) require a wallet connected on both sides so that a valid destination address exists. You are responsible for ensuring the correct destination is set before you sign.

6. Fees

roodswap charges a flat service fee of 0.1%. This fee is always included in the rate shown before you sign. There is no hidden markup.

On top of the service fee, you pay network gas and the fee charged by the underlying decentralized exchange or bridge. Both are shown in your quote before you sign.

Same-chain SEND transactions carry no service fee and are gas-only. Cross-chain transactions carry the 0.1% service fee.

You are responsible for all fees associated with your transactions. Fees, once paid to the network or to third-party protocols, are not refundable by roodswap.

7. Third-Party Services

The Service depends on independent third parties, including routing engines, liquidity venues, bridge protocols, wallet software, and premium RPC infrastructure. These parties operate on their own terms and outside roodswap's control.

roodswap does not own, operate, or guarantee any of these third-party services and is not responsible for their performance, availability, security, pricing, or conduct. Routing decisions and execution ultimately occur on independent protocols and networks.

Your use of any third-party service, including your own wallet, may be subject to that provider's separate terms. Any dispute involving a third-party provider is between you and that provider. roodswap is not a party to it.

8. Acceptable Use and Prohibited Activities

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to do any of the following.

• Use the Service for any illegal purpose, or to facilitate any illegal activity, including money laundering, terrorist financing, or the financing of proliferation.
• Use the Service if you are, or are acting for, a sanctioned or restricted person or entity.
• Engage in market manipulation, wash trading, front-running of other users, or any fraudulent, deceptive, or manipulative conduct.
• Use the Service to defraud, deceive, or harm any person or entity.
• Interfere with, disrupt, attack, or attempt to exploit, reverse-engineer, or gain unauthorized access to the Service or any connected infrastructure.
• Use bots, scrapers, or any automated means to access, abuse, overload, or extract data from the Service, except as expressly permitted.
• Circumvent, disable, or attempt to defeat any security or access control of the Service.
• Use the Service in any way that violates any law or regulation that applies to you.

9. Intellectual Property

The Service, including its interface, design, text, graphics, logos, the roodswap name, and all related software and content, is owned by roodswap or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works from the Service or any part of it, except to the extent expressly permitted by law or by us in writing. All rights not expressly granted are reserved.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind.

To the fullest extent permitted by law, roodswap disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

roodswap does not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components, that quotes or routes will be accurate or complete, that any transaction will succeed, or that any defect will be corrected. You use the Service at your own risk.

11. Assumption of Risk

Using crypto assets and blockchain networks carries significant risk. By using the Service, you acknowledge and accept these risks, which include but are not limited to the following.

• Price volatility. The value of crypto assets can change rapidly and may fall to zero.
• Smart-contract risk. Protocols, bridges, and contracts you interact with may contain bugs, vulnerabilities, or exploits.
• Total loss. You may lose all of the assets you transact with, and roodswap cannot recover them.
• Irreversibility. Transactions cannot be reversed once confirmed.
• Regulatory uncertainty. Laws and regulations affecting crypto assets are evolving and may change in ways that affect your use of the Service.
• Network failure. Blockchain networks, bridges, RPC infrastructure, and wallet software may fail, congest, fork, or behave unexpectedly, causing failed, delayed, or stuck transactions.
• Counterparty and third-party risk. Independent liquidity venues, routing engines, and providers may fail or act in ways beyond roodswap's control.

12. Limitation of Liability

To the fullest extent permitted by law, roodswap and anyone acting on its behalf will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or crypto assets, arising out of or relating to your use of or inability to use the Service, whether based in contract, tort, strict liability, or any other theory, and whether or not roodswap was advised of the possibility of such damages.

Because roodswap is non-custodial and never holds your funds, it is not liable for any loss of funds, failed or stuck transactions, incorrect addresses, unfavorable rates, slippage, or the acts or omissions of third-party protocols, networks, or providers.

To the fullest extent permitted by law, roodswap's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total service fees you paid to roodswap in the three months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations. Where that is the case, the limitations above apply to the maximum extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless roodswap and anyone acting on its behalf from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or the rights of any third party, or any transaction you initiate through the Service.

roodswap reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with that defense.

14. Modification of the Service and These Terms

roodswap may change, suspend, or discontinue any part of the Service at any time, including supported chains, tokens, actions, and features, without notice and without liability.

roodswap may revise these Terms at any time. The updated Terms take effect when posted, and the effective date shown above will reflect the change. Your continued use of the Service after any change means you accept the revised Terms. If you do not agree, stop using the Service.

15. Dispute Resolution, Binding Arbitration, and Class-Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in a small-claims forum if it qualifies.

The arbitration will be conducted before a single neutral arbitrator and administered under established, neutral arbitration rules agreed by the parties. The arbitrator has authority to resolve all issues, including the scope and enforceability of this arbitration agreement.

You and roodswap agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

To the fullest extent permitted by law, you and roodswap waive any right to a trial by jury and any right to participate in a class action.

This section is intended to be jurisdiction-neutral and to be enforced to the fullest extent permitted by applicable law. If the class-action waiver is found unenforceable as to a particular claim, that claim will be severed and heard in a court of competent jurisdiction, while all other claims proceed in arbitration.

16. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force and effect.

These Terms, together with any policies expressly referenced here, are the entire agreement between you and roodswap regarding the Service and supersede all prior understandings on that subject.

roodswap's failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without roodswap's consent; roodswap may assign them freely.
